1. This agreement is a guaranteed quote to complete the below described advertising and promotions.

2. GooglerTV has developed "video-share-broadcasting" trade secrets to allow you the advertiser to:
#1. Release your infomercial on the internet to all major video-share websites. (e.g. YouTube/MySpace/AOL/MSN, etc, etc.)
#2. Edit and include your infomercial into the above movie/film for viewer "video-share" your business.
#3. To circulate your infomercial online using the above film as the vehical where viewers find by "googling" major video sharing websites
viewing the above film where your educational infomercial is embedded, and/or viewer simply finds above film subject listed high on the
front page of the video-share website because the above film is receiving top popular hits within that video-share website.
#4. To develop your informative educational infomercial where viewer may benefit/learn from your information, and will "want" to share to
a friend who requires your educational information, and/or retrieve your information personally, and/or remember/recall your business name
to google online in the future when either they or their friend requires your expertise.

3. The purpose of this agreement is to advertise you:
#1 To edit and transform your infomercial into flash flv file.
#2 To include your infomercial into a film that is a much talked about interesting film viewers will search for viewing.
#3 To embed your infomercial into the above specified film and upload to all major video sharing websites, for viewers to view free and
share forever and ever as long as there is continued interest in the above specified film.

4. Time is of the essence for your online "video-share broadcasting".
NOTE: Once your infomercial is released, there is no stopping/removing or retracting your infomercial as GooglerTV releases/uploads your
infomercial in a form of a flash (flv) file, at that point whomever possess your flash file possess ownership. All video-share websites require
video file normally in a flv (flash) format, GooglerTV formats and delivers your flv file for thier use quickly and free of any charges to them.

5. You receive a rep that works with you concerning your infomercial "video-share broadcasting", your website optimization ranking, and

10. It is agreed GooglerTV cannot be held responsible for other video-share website errors, e.g. misplacement, mis-spelling,
mis-categorized, re-editing, deletion, not working correctly, etc., etc. GooglerTV is not affiliated with other major video share websites,
and only submits your infomercial and film for placement and cannot be held liable for any third party error(s).

11. You may cancel this agreement at anytime with your providing 30 day notice and payment of the 30 day notice period. GooglerTV may
cancel this agreement for any reason with written notice of GooglerTV cancellation, refunding any money for unused services as defined in
this agreement.

12. Any alterations or deviations from the above described advertising specifications involving extra costs either labor costs, software,
programming, etc, will become an extra charge-off over the sum mentioned in this agreement.

13. This agreement constitutes the entire understanding between the parties. Any prior agreements or misunderstanding, regardless of
whether they are verbal or written, which are inconsistent with the terms of this agreement shall be null, void, and of no further affect.

14. This agreement shall be interpreted according to the laws of the State of California. Venue for any litigation arising out of this
agreement shall lie exclusively with the Orange County, California, Superior Court. If any portion of this agreement is found not to be valid,
the remaining portion shall remain valid and remain in full affect.

15. This agreement expires after your infomercial is produced, embeded, and uploaded to video sharing websites as explained above.
